I. TERMS AND CONDITIONS

These Terms and Conditions apply to promotional activities within the campaign “Shelly Spring Deals 2026” (“the Campaign”).

By making use of any of the promotions within the Campaign, You agree to be bound by these Terms and Conditions and the decisions of the Organizer, which are entirely at the Organizer’s discretion and are final and binding in all matters relating to the Campaign.

By making use of any of the promotions within the Campaign You acknowledge that You have read, understand and agree to these Terms and Conditions and that You will comply with them and all applicable laws.

The Organizer reserves the right to modify or amend the Terms and Conditions, and changes will take effect once posted on https://www.us.shelly.com/.

These Terms and Conditions of the Campaign do not limit any statutory rights and obligations of the user or any such provided under the General Terms and Conditions on the online store at the following address: LINK

1. Campaign: “Shelly Spring Deals 2026”

The Campaign includes any promotional activity provided within the Campaign Period in reference to products or services offered by Shelly USA Inc. via the online store https://www.us.shelly.com, referred to hereinafter as the “Promotion”.

Subject to the Campaign are only products and services offered by Shelly USA Inc. The Campaign and any Promotions therein shall not apply to any products or services offered via the online store by third parties.

2. Campaign Organizer

Shelly USA Inc., a company registered in the State of Nevada, United States of America, having its registered office at: 10161 Park Run Dr., Ste 150, Las Vegas, NV 89145, USA.

3. Channel

The Campaign is valid exclusively via the online store https://www.us.shelly.com.

4. Campaign Period

Start Date: Wednesday 22.04.2026 at 09:00 AM PST

End Date: Tuesday 28.04.2026 at 11:59 PM PST

The Campaign Period may be shortened or extended upon statement by the Organizer published on https://www.us.shelly.com/.

5. Territory

The Campaign will take place in the United States of America, Canada, and Latin America (“LATAM”).

Different Promotions might be offered across different countries.

The Organizer reserves the right to restrict or modify the Terms and Conditions of the Campaign at its sole discretion or if required by law in a particular country, including restricting the Campaign to specific regions.

6. Promotions

Each Promotion is subject to specific terms and conditions as described below. The Campaign includes the Promotions as listed below, whereas the Organizer is entitled to terminate some of the Promotions or to add new ones within the Campaign Period.

6.1. Discounts

The Campaign offers tiered discounts on selected products. Discounts will be visible as strikethrough prices next to the product in the online store.

Products marked as “New” are excluded and no discount applies to them.

The Discount does not apply to delivery costs, including shipping fees, taxes, and customs duties.

All discounts are available until stocks last. Shelly USA Inc. does not guarantee product availability during the entire Campaign Period.

In case of order cancellation or return, refunds will be issued based on the discounted price paid.

6.2. Free Shipping

Free shipping is only available for the US, for orders above $50. Standard shipping rates as displayed at checkout shall apply.

II. GENERAL RULES

None of the Promotions within the Campaign can be combined with any other discount offers, vouchers, codes, or coupons, unless expressly stated otherwise.

Delivery terms for orders placed during the Campaign may exceed standard delivery timeframes. Shelly USA Inc. is not responsible for any delays.

None of the promotional benefits can be sold, transferred, or exchanged for their monetary value or other products or services, nor are they subject to any negotiation.

Shelly USA Inc. reserves the right to modify these Terms and Conditions, or to extend, shorten, or terminate the Campaign at its sole discretion and without prior notice. Any such changes shall take effect upon publication on www.us.shelly.com.

The Organizer reserves the right to suspend, modify, or terminate the Campaign or any Promotion thereof at any time for any reason, in its discretion, including without limitation in the event of fraud, abuse, tampering, technical, administrative, financial, or other difficulties. In such cases, the Organizer will post a notice at https://www.us.shelly.com/.

No compensation in any form and/or amount shall be owed to the users for termination or suspension of the Campaign or any Promotion thereof, irrespective of the reasons for that termination or suspension.

The Organizer may refuse to apply any promotional terms and to provide any promotional benefits (discount, free products or services) if: (i) the requirements under these Terms and Conditions or the applicable law are not met, (ii) ordered by a competent government body, or (iii) fraud is alleged. The Organizer’s decision in any such cases is final.

The Users release the Organizer from liability for any damages, losses, or costs arising from: (a) participation in the Campaign; (b) violations of these Terms and Conditions, the online shop’s General Terms and Conditions, or Privacy Policy; (c) technical malfunctions or transmission issues; (d) internet traffic or website access delays; (e) errors in Campaign materials or any technical or human error.

The Organizer disclaims liability for lost profits or any special, incidental, indirect, punitive, or consequential damages related to the Campaign.

III. PERSONAL DATA

For the purposes of the Campaign, including for its management, marketing, and provision of promotional benefits, the processing of personal data is necessary.

IV. GOVERNING LAW

All disputes arising out of the implementation of or in connection with these Terms and Conditions shall be settled by mutual negotiation. In the event of failure to reach a mutual agreement by negotiation, the dispute shall be subject to the laws of the State of Nevada, United States of America, without regard to its conflict of laws principles.

Notwithstanding the foregoing, nothing in these Terms and Conditions shall limit any statutory rights of the user under the consumer protection laws of the user’s country or state of residence, to the extent such rights cannot be waived or limited by agreement.

For users who are residents of Canada or Latin American countries, mandatory consumer protection provisions of the applicable local law shall apply to the extent required.

V. MISCELLANEOUS

If any part of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, illegal, or otherwise unenforceable, such part will be modified by such court to the minimum extent necessary to make it enforceable while preserving to the maximum extent possible the original intent, and the remaining parts of these Terms and Conditions will remain in full force and effect.
